Terms of Service

These Terms of Service ("Terms") govern your access to and use of Code Constitution™ ("the Service"), operated by Regunav Inc., a Delaware corporation ("we", "us").

1. Acceptance

By installing the Code Constitution GitHub App, calling our APIs, or using any Service surface, you agree to these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

2. The Service

Code Constitution provides automated compliance checks on GitHub repositories: patent-safety scanning, model-card verification, trademark-consistency review, no-placeholder gates, and a read-only dashboard over your logs branch. The engines are open source (Apache 2.0). Our hosted Service is the convenience layer.

3. Your responsibilities

You are responsible for: (a) the content of your repositories; (b) lawful use of the Service; (c) your GitHub Secrets (which the Service never reads — the reusable workflow runs in your runner); (d) any results from automated checks — Code Constitution is an aid to compliance, not a substitute for legal advice or a licensed audit.

4. Privileges and intellectual property

The Code Constitution engines (packages under @regunav/engines) are Apache 2.0 licensed. "Code Constitution" and "ReguNav" are trademarks of Regunav Inc. We grant you a non-exclusive, non-transferable licence to use the Service per these Terms. We retain all other rights.

5. Fees

Free for individuals and public repositories. Paid tiers are described at /pricing. Fees are payable in advance. Upgrades take effect immediately; downgrades prorate against the current period.

6. Service availability

We target 99.5% monthly uptime for the Free tier and 99.9% for paid tiers. Scheduled maintenance is announced 48 hours in advance. Enterprise tier customers receive a written SLA addendum.

7. Data + privacy

Privacy is detailed at /legal/privacy. In short: we never store your cloud-provider tokens, we never read your private repository contents outside the check execution context, and every state-changing operation we perform is recorded in the WORM audit trail and available to you on request.

8. Termination

You may terminate by uninstalling the GitHub App at any time. We may terminate or suspend access for Terms violations, with notice and an opportunity to cure when practicable. Upon termination, we cease executing checks; audit-trail entries are retained per the retention schedule.

9. Disclaimers

The Service is provided "as is". We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Automated checks identify potential compliance gaps; they do not constitute legal advice or a formal audit attestation.

10. Limitation of liability

To the maximum extent permitted by law, our aggregate liability under these Terms shall not exceed the greater of (a) the fees you paid us in the twelve months preceding the event giving rise to liability, or (b) one hundred US dollars. We are not liable for indirect, incidental, consequential, or punitive damages.

11. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Disputes are resolved in the state and federal courts of Delaware.

12. Changes

We may update these Terms. Material changes are announced at least 30 days in advance via email to the registered account contact. Continued use after the effective date constitutes acceptance.
